3. QUOTATIONS AND CONTRACT FORMATION

Quotations are valid for 30 days unless stated otherwise. A quotation is accepted when the client confirms acceptance by email and pays any agreed deposit.

The contract begins when the required deposit has been paid and the project has been accepted. If the scope changes, A Lewis may issue a revised quotation or confirm additional work and charges by email.

No work outside the agreed scope is included unless confirmed in writing.

4. PRICES, VAT AND THIRD-PARTY COSTS

Prices may be calculated as a fixed project price, price per page, hourly rate, monthly service or bespoke quotation.

A Lewis is not currently VAT registered and does not add VAT to prices. If the VAT position changes, prices and invoices may be updated as required by law.

Hosting, domains, email, premium plugins, licences, fonts, stock images, advertising budgets and other third-party costs may be charged separately. Where applicable, these costs are invoiced annually in advance and must be paid before the relevant service is activated or renewed.

5. DEPOSITS AND PAYMENT

The required deposit is 30% of the agreed project price. Work will normally begin after the 30% deposit has been received.

Unless stated otherwise, the remaining balance is due when the agreed work is completed and before final launch, handover or transfer of relevant access.

If an invoice is overdue, A Lewis may, after reasonable notice:

– pause work;
– delay website launch;
– require future work to be paid in advance;
– suspend hosting, maintenance or related services; and
– seek recovery of unpaid amounts and any lawful recovery costs.

The website or related services may be suspended where agreed hosting, domain, licence or maintenance charges remain unpaid. A Lewis should give reasonable notice where practicable.

6. PROJECT SCOPE, FEEDBACK AND REVISIONS

Unless the quotation states otherwise, up to three reasonable design or content revision rounds are included.

Additional work may include a complete redesign, new pages, new features, additional content, changes requested after approval, or information supplied after the agreed scope has been completed. Additional work will be confirmed and priced by email before it proceeds.

The client is responsible for timely feedback, content, images, access information and approvals. Delayed material or approvals may delay the project timetable and launch date.

The client is responsible for checking and approving final content, design, links, legal information and functionality before launch.

7. CLIENT RESPONSIBILITIES

The client must provide accurate business information, suitable images, logos and brand assets, and final approval of the completed work.

The client should provide any required WordPress, hosting, domain, email, Google or social-media access securely and only where necessary.

The client must tell A Lewis about legal, regulatory, accessibility, copyright or industry requirements that apply to its business.

The client remains responsible for the accuracy and lawful use of information supplied for publication. The client should obtain permission to use text, images, logos, fonts, video, testimonials and other materials supplied to A Lewis. A Lewis may ask the client to confirm those permissions before publication.

8. COMPLETION, LAUNCH AND HANDOVER

A project is considered complete when the agreed deliverables have been supplied and the included revision rounds have been completed, or when the client approves the work.

Training and Google Analytics setup are included only where stated in the quotation. WordPress logins, Elementor templates, website files, documentation, backups and Google Search Console access are not included unless specifically stated in the quotation.

Post-launch support is not included unless separately agreed. Additional support may be quoted separately.

9. HOSTING, DOMAINS AND THIRD-PARTY SERVICES

A Lewis may manage hosting, domains, email, SSL, premium plugins, Elementor Pro licences, backups, maintenance and analytics depending on the project agreement.

Ownership and control of domains and hosting may depend on the project arrangement and will be confirmed in the quotation or handover information.

Third-party services are subject to their own terms, availability, prices, renewals and technical changes. A Lewis is not responsible for outages, policy changes, discontinued features, price increases or failures caused by third-party providers outside reasonable control.

If hosting, domain, licence or maintenance charges are not paid, the relevant service may be suspended or expire. The client remains responsible for renewing any service that it owns or controls.

10. SEO AND DIGITAL MARKETING

A Lewis will carry out SEO and marketing work with reasonable care and skill, but cannot guarantee:

– a particular Google position;
– a particular amount of traffic;
– enquiries, sales or revenue;
– inclusion in Google or other search indexes;
– continued visibility after a search-engine algorithm change; or
– results from a third-party advertising or social-media platform.

Results depend on competition, the client’s market, website changes, content, budgets, search-engine systems and other factors outside A Lewis’s control. Advertising budgets and third-party platform charges are separate from A Lewis service fees unless expressly included.

11. INTELLECTUAL PROPERTY AND PORTFOLIO USE

After all agreed invoices have been paid, the client will own the final deliverables, reusable templates, code, systems and design processes supplied or created for the client, subject to any third-party licence restrictions.

The client is responsible for checking, purchasing and complying with third-party licences for software, fonts, stock images, plugins, hosting, domains and other materials used in the project. Third-party services remain subject to their own licence terms and may not be transferable even where the client has paid A Lewis.

A Lewis may display completed work, the client’s name, logo and website link in its portfolio, website, case studies and social-media channels unless the client asks in writing for this not to happen before publication.

12. CLIENT-SUPPLIED MATERIALS

The client is responsible for ensuring that all materials supplied to A Lewis may lawfully be used, edited and published. The client must obtain and maintain all required copyright permissions, permissions, licences and releases.

The client agrees to cover losses, claims or costs arising from unlawful, inaccurate or infringing material supplied by the client, subject to applicable law.

13. CANCELLATION AND TERMINATION

Either party may request cancellation before work begins. If the client cancels before any work has been carried out, any refundable deposit will be returned after deduction of agreed or completed costs.

If the client cancels after work has started, the client must pay for work completed, approved third-party costs and any other non-recoverable costs incurred up to cancellation.

A Lewis may terminate or suspend a project for non-payment, abusive behaviour, repeated delays, unlawful instructions or a serious breach of these terms. Where practicable, reasonable notice will be provided.

If the final balance is unpaid, A Lewis may withhold launch, handover or access and may suspend related services after reasonable notice.

14. REFUNDS AND CORRECTIONS

Refunds will be considered after the issue has been explained and reviewed. Where appropriate, A Lewis may first offer reasonable corrections or re-performance of defective work.

Nothing in these terms removes rights that cannot lawfully be excluded or limited.

15. CONFIDENTIALITY AND DATA PROTECTION

Both parties should keep confidential business, commercial, technical and personal information private and use it only for the agreed project or service.

To the extent permitted by law, A Lewis is not responsible for indirect or consequential loss, loss of profits, loss of sales, loss of business opportunity, loss of data, client-supplied errors, delayed approvals or changes made by third-party providers.

A Lewis is not responsible for events outside reasonable control, including third-party hosting or software failure, search-engine changes, social-media changes, cyber incidents affecting third-party infrastructure, utility failures or other events that could not reasonably have been prevented.
